Terms of Use

These terms govern your access to and use of Referaly. Please read them carefully — by creating an account or using the service, you agree to be bound by them.

By accessing or using the Referaly platform (including our website at app.referaly.fr, web application, mobile apps, NFC cards and related services, together the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, you may not use the Services.

These Terms form a binding agreement between you (or the organisation you represent) and Referaly OU, a Private Limited Company registered in Estonia (registration number 16957852), with its registered office at Sepapaja St. 6, Lasnamae, Tallinn, Harju County, 15551, Estonia.

Important

If you are using the Services on behalf of an organisation, you confirm that you have the authority to bind that organisation to these Terms.

For the purposes of these Terms, the following definitions apply:

Professional (Subscriber)

Any individual or legal entity that subscribes to the Referaly platform to build, manage, and reward their network of business referrers. The Professional is the primary account holder.

Business Referrer (Apporteur d'Affaires)

Any individual who recommends the Professional's products or services to potential clients through the Referaly platform, in exchange for commissions or rewards defined by the Professional.

Platform

The Referaly web application accessible at app.referaly.fr, the associated mobile applications, NFC cards, and all related services.

Referral

A business recommendation made by a Business Referrer on behalf of a Professional, tracked and managed through the Referaly platform.

Referaly provides a SaaS referral management platform that helps Professionals build, manage, and reward their network of Business Referrers. Our Services include referral pipeline management, real-time tracking and analytics, automated commission calculations, referrer directories, NFC business cards, and educational resources.

Core features

Referral pipeline management, real-time analytics, automated commission payouts, referrer directory, NFC card provisioning and training courses.

Service availability

We aim for 99.9% monthly uptime but do not guarantee uninterrupted access. Planned maintenance windows are communicated in advance whenever possible.

Service modifications

We may update, add or remove features at any time. We will provide reasonable notice for material changes that affect paying customers.

To use most features of the Services, you must create an account. You agree to:

Provide accurate and complete information during registration
Keep your login credentials confidential and secure
Promptly notify us of any unauthorised access to your account
Be at least 18 years old and legally capable of entering into contracts
Use the Services only for lawful business purposes

You are responsible for your account

You remain responsible for all activity that occurs under your account, including any content submitted by your team members.

When using Referaly, you agree not to engage in any of the following:

Illegal activity

Do not use the Services to violate any applicable law, regulation or third-party right.

Abuse & spam

Do not send unsolicited communications, scrape data or harass other users.

Tampering with the platform

Do not attempt to reverse-engineer, disrupt or gain unauthorised access to the Services.

Fake referrals

Do not submit fraudulent leads or manipulate rewards through artificial means.

Paid subscriptions renew automatically until cancelled. Billing is handled securely through Stripe.

Subscription plans

Referaly offers the following subscription tiers:

Free: Limited features, no charge.
Independent: 49.90 EUR/month, designed for independent professionals managing their own referral network.
Agency: 79.90 EUR/month, designed for agencies and teams managing multiple referral networks.
White Label: Custom pricing, tailored solution with your own branding. Contact us for a quote.

VAT & taxes

Displayed prices exclude VAT unless otherwise indicated. Applicable taxes are added at checkout based on your billing location.

15-day money-back guarantee

All paid plans come with a 15-day money-back guarantee from the date of initial subscription. If you are not satisfied, contact us within 15 days of your first payment for a full refund. After this period, subscriptions are non-refundable for the current billing period.

Late payments

If payment fails, we will attempt to charge your payment method again within 7 days. Continued failure may result in temporary suspension of your account and access to paid features.

All content, features, and functionality of the Referaly platform, including but not limited to text, graphics, logos, icons, images, software, and the underlying code, are the exclusive property of Referaly OU and are protected by international copyright, trademark, and other intellectual property laws.

Your content

You retain ownership of content you upload to the platform (e.g., business descriptions, logos, referral materials). By uploading content, you grant Referaly OU a non-exclusive, worldwide licence to use, display, and distribute that content solely for the purpose of operating the Services.

Restrictions

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any part of the platform without prior written consent from Referaly OU. Reverse engineering, decompiling, or disassembling the software is strictly prohibited.

Either party may terminate this agreement at any time. You can cancel your subscription from your account settings and you will retain access until the end of the current billing period.

Suspension by Referaly

We may suspend or terminate your account if you violate these Terms, fail to pay fees when due, or engage in activity that risks the security or integrity of the Services.

Effect of termination

On termination, your right to access the Services ends immediately. You may export your data within 30 days; after that, data may be permanently deleted.

The Services are provided "as is" and "as available". We do not guarantee that the Services will meet every business requirement or be error-free at all times.

Limitation of liability

To the maximum extent permitted by law, Referaly's total liability under these Terms is limited to the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold Referaly harmless from any claim arising out of your use of the Services or breach of these Terms.

Governing law

These Terms are governed by the laws of the Republic of Estonia and applicable European Union regulations. Any dispute will be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia, unless mandatory consumer protection rules of the user's country of residence provide otherwise.

Changes to the Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 30 days before they take effect.

Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. Referaly may assign these Terms in connection with a merger, acquisition or sale of assets.

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Referaly regarding your use of the Services.
